- informs potential Clients about the Service, its capabilities and current pricing;
- distributes the Agent Links and the Agent ID;
- advises potential Clients on choosing and connecting the Service;
- helps Clients with the initial setup of their workspace (Section 8);
- if Support Mode is selected, provides Assigned Clients with first-line technical support (Section 9).
2.2. Clients enter into agreements for the use of the Service directly with the Principal, on the terms of the Principal’s documents published on the lineon.me website. The Agent is not a party to these agreements.
2.3. Clients pay the Principal for the Service directly, by invoice or by bank card in the product account. The Agent may not accept money from Clients as payment for the Service or issue invoices to Clients for the Service on behalf of the Principal or in the Agent’s own name.
2.4. Without a separate written power of attorney from the Principal, the Agent may not enter into agreements on behalf of the Principal, change the prices or terms of the Service, or promise Clients discounts, refunds, development timelines or any other terms not published by the Principal.
2.5. The Agreement is non-exclusive. The Principal may engage other agents, including in the same territory. The Agent may cooperate with other persons, provided that this does not violate Section 17.
2.6. The Agent’s remuneration includes all of the Agent’s expenses related to the performance of the Agreement. The Principal does not separately reimburse the Agent’s expenses.
2.7. This edition applies to the territory of the Russian Federation (the RU market). Terms for partners from other countries are set out in Section 28.
3. Conclusion of the Agreement. Offer Version
3.1. Acceptance of the Offer is registration in the Account with confirmation that the Offer is accepted (Article 438(3) of the Civil Code of the Russian Federation). Registration without such confirmation is not possible.
3.2. Upon acceptance, the Account records the Offer version, the date and time of acceptance and the Agent’s user account. The Agreement is deemed concluded on the terms of the version recorded upon acceptance, as amended in accordance with Section 24.
3.3. The Agreement is deemed concluded in writing (Article 434(3) and Article 438(3) of the Civil Code of the Russian Federation).
3.4. The Principal may refuse registration or suspend it until the Agent’s details are verified if the Agent does not meet the requirements of Section 4 or there are signs of violations under Section 17.
3.5. The same person may be both a Client and an Agent and use one user account. The Agent may not assign to itself a workspace of which the Agent is a member (clause 17.2).
4. Who May Be an Agent. Agent’s Representations
4.1. An Agent may be a person registered in the Russian Federation as:
- an individual entrepreneur;
- a legal entity.
4.2. The following may not be Agents: individuals who are not registered as individual entrepreneurs, and persons (including individual entrepreneurs) who apply the special tax regime “Tax on Professional Income”, because under clause 6 of Part 2 of Article 4 of Federal Law No. 422-FZ of November 27, 2018 this regime does not apply to income from activities in the interests of another person under agency agreements.
4.3. The Agent represents (Article 431.2 of the Civil Code of the Russian Federation) that:
- its status as an individual entrepreneur or a legal entity stated in the Account is valid;
- it does not apply the special tax regime “Tax on Professional Income”;
- the payment details belong to the Agent itself;
- it has the right to enter into and perform the Agreement;
- it is not subject to bankruptcy or liquidation proceedings;
- the information it has provided in the Account is accurate.
4.4. Within 1 business day, the Agent must notify the Principal via the Account or by email of the loss of its status (termination of activity as an individual entrepreneur, liquidation of a legal entity), of a change of its tax regime, including a switch to the tax on professional income, or of a change of its payment details. Until the details are updated, the Principal may suspend payouts.
4.5. Before a payout, the Principal may check the Agent’s status using the public services of the Federal Tax Service of Russia.
5. Program Rules
5.1. The main terms of the program are set out in the Offer. In the Program Rules, the Principal publishes the parameters that the Offer expressly refers to the Rules and the procedure for using the functions of the Account.
5.2. The Program Rules form part of the Agreement. In the event of a conflict between the Offer and the Program Rules, the Offer prevails.
5.3. Parameters not approved by the Principal do not apply until they are published in the Program Rules. As of the date of this edition, the following have not been approved: sanction steps after the first one (Section 10), terms for the INTL market (Section 28), and the refund procedure for incomplete months, bundles and used modules beyond clause 13.1.
5.4. Accruals marked as test accruals in the Account do not create obligations of the Parties.
6. Attracting and Assigning Clients
6.1. A Client is assigned to the Agent with the Client’s consent in one of the following ways:
- registration or selection of the partner through the “invite a client” link;
- entering the Agent ID in the Client’s account;
- selecting the Agent in the Catalog with confirmation;
- creation of the Client’s workspace by the Agent, when this function is available in the Account.
6.2. Only the owner (administrator) of the Client’s workspace may select, change or remove the partner. Assignment requires explicit confirmation.
6.3. A Client’s workspace may have only one current partner at any time. Following an Agent Link does not change the partner of a Client already assigned to another Agent without the Client’s explicit consent.
6.4. A workspace created by the Agent for a Client receives a 10-day trial period. No remuneration is accrued for the trial period.
6.5. An Agent who has invited another Agent through the “invite a partner” link becomes that Agent’s upline. The upline Agent is set once and does not change.
6.6. The Principal may refuse to assign a Client if there are signs of violations under Section 17.
7. Client’s Rights. Change and Removal of the Agent
7.1. The Client may at any time change the Agent or remove the partner in its account without the Agent’s consent and without giving reasons.
7.2. After a change or removal:
- Accruals for payments received after the change go to the new Agent and its Structure; after removal, no Accruals are made;
- Accruals for payments made before the change remain with the former Agent and its Structure;
- the former Agent’s access to the Client’s workspace ends.
7.3. The Principal grants a Client assigned to the Agent a partner discount of 10 % on plans, renewals, extra channels and modules. The discount applies immediately after assignment, after the discount for the payment period, to the remaining amount, rounded down to the whole ruble. Other Client discounts apply under the Principal’s rules for Clients.
7.4. The Agent may not offer Clients discounts, bonuses or other terms of the Service beyond those published by the Principal.
8. Agent’s Access to the Client’s Workspace
8.1. By default, upon assignment the Agent receives full (administrative) access to the Client’s workspace to set up the Service.
8.2. The owner of the Client’s workspace may at any time restrict or revoke the Agent’s access. Restricting or revoking access does not end the Client’s assignment or the Agent’s right to remuneration.
8.3. The Agent uses the access only to set up and support the Service in the Client’s interests and at the Client’s request. The Agent may not:
- export, copy or transfer workspace data to third parties, including customer databases, correspondence and files, except where necessary for setup at the Client’s request;
- change the owner of the workspace or the payment methods, or delete the workspace or data without the Client’s request;
- use the data of the Client and its customers for its own purposes, including advertising.
8.4. The Agent’s actions in the Client’s workspace are recorded in the Service log.
9. Client Support Mode
9.1. The Agent selects a mode in the Account: “with support” or “without support”. A change of mode takes effect on the first day of the month following the month of the change.
9.2. In the “with support” mode, the Agent provides Assigned Clients with first-line technical support: advises on setting up and using the Service and helps connect channels and modules.
9.3. In the “with support” mode, support chat requests from Assigned Clients are routed to the Agent in Dialogs. The Agent must give the Client a first reply in Dialogs no later than 10 minutes after the request. This time limit applies at any time of the day, including weekends and public holidays. A reply by artificial intelligence or an automatic reply does not count as a first reply.
9.4. If the Agent fails to give a first reply in time, the request, together with the conversation history, is transferred to the Principal’s support, and the violation is recorded in the Account. After the transfer, the Agent’s reply to that request is not sent to the Client. A reply by the Agent after the time limit but before the transfer is also recorded as a violation.
9.5. Within support, the Agent may not handle matters of payment, refunds, disputes under the Client’s agreement with the Principal, requests from personal data subjects or claims. The Agent forwards such requests to the Principal.
9.6. The Client sees the Agent’s replies as replies from the Service support. The Agent replies on behalf of LineOnMe support, politely and to the point, without advertising its own services or third-party services.
9.7. In the “without support” mode, Assigned Clients are supported by the Principal.
10. Sanctions for Support Mode Violations
10.1. In the event of violations of clauses 9.3–9.6, the Principal may apply a sanction. Sanctions are applied by decision of the Principal and are not applied automatically.
10.2. The first sanction step is a reduction of the Agent’s rates: the personal rate by 5 percentage points and the second- and third-level rates by 1 percentage point each (for example, 50 / 5 / 3 % → 45 / 4 / 2 %). The new rates apply from the first day of the month following the decision and do not change Accruals for past payments.
10.3. Subsequent steps, criteria and time limits for sanctions are set by the Program Rules. If they have not been published, the next measure is the forced deactivation of Support Mode.
10.4. Support Mode may be restored after deactivation only upon the Agent’s request in the Account and by decision of the Principal.
10.5. The Principal notifies the Agent of an applied sanction in the Account, stating the violations.
11. Agent’s Remuneration
11.1. Remuneration Base means the amount actually paid by the Client to the Principal, after all discounts, for:
- Service plans (licenses), including plan upgrades;
- renewals;
- extra channels;
- extra modules.
11.2. The Remuneration Base does not include:
- AI balance packages;
- unpaid orders and trial periods;
- internal transfers and adjustments;
- amounts refunded to the Client.
11.3. If the Principal is not a VAT payer, VAT is not charged separately in Client payments and the Remuneration Base is determined without VAT. If the Principal is a VAT payer, VAT is taken into account in determining the Remuneration Base in the manner established by the tax legislation of the Russian Federation.
11.4. Payments for the LineOnMe Booking and LineOnMe Lite products are taken into account from the date on which the Principal included them in the program and announced this in the Account. No Accruals are made for them before that date.
11.5. Personal rate (first level) applies to the Remuneration Base of payments by Assigned Clients. The rate depends on the Agent Turnover for the previous Reporting Month and on the Support Mode in the current month:
- Turnover below 10,000 ₽ — 20 % in the “with support” mode, 20 % in the “without support” mode;
- Turnover from 10,000 ₽ and below 30,000 ₽ — 25 % in the “with support” mode, 25 % in the “without support” mode;
- Turnover from 30,000 ₽ and below 70,000 ₽ — 30 % in the “with support” mode, 30 % in the “without support” mode;
- Turnover from 70,000 ₽ and below 150,000 ₽ — 40 % in the “with support” mode, 35 % in the “without support” mode;
- Turnover from 150,000 ₽ — 50 % in the “with support” mode, 35 % in the “without support” mode.
11.6. The rate is determined once a month, as of the first day of the Reporting Month, and applies for the whole month. Accruals for past payments are not recalculated. A new Agent starts from the first tier.
11.7. Second and third levels. For a payment by an Assigned Client of a first-level Agent:
- the Agent who invited the first-level Agent (second level) receives 5 % of the Remuneration Base;
- the Agent who invited the second-level Agent (third level) receives 3 % of the Remuneration Base.
The Principal pays these amounts in addition to the first-level Agent’s share, and they do not reduce it. No more than three Agents receive remuneration for one payment.
11.8. The chain of Agents is fixed at the time of payment. Subsequent changes to the Structure do not change Accruals for past payments. An Agent whose participation is suspended or whose Agreement has been terminated, and an Agent who has assigned itself or its own workspace, receive no Accruals for such a payment.
11.9. Accruals in rubles are rounded down to the whole ruble. The fractional remainder stays with the Principal.
11.10. Accruals are made in the currency of the Agent’s market (rubles for the RU market). Under this edition, no Accruals are made for payments in another currency.
11.11. The Principal’s records in the Account are the basis for calculating remuneration. The Agent raises objections to the data in accordance with Section 14.
12. Hold, Balance and Payouts
12.1. An Accrual is on Hold for 3 calendar days from the moment of accrual. When the Hold expires, the Accrual is automatically transferred to the Balance.
12.2. The Agent submits a payout request in the Account. The minimum payout amount is 1,000 ₽. Only one request may be open at a time. The requested amount is reserved on the Balance.
12.3. The Agent may cancel a request until the Principal has approved it.
12.4. The Principal reviews payout requests weekly: it checks each request and approves or rejects it, stating the reason. The transfer under an approved request is made no later than 10 business days from the date of approval.
12.5. Payouts are made to a bank card or a settlement account belonging to the Agent itself. A legal entity is paid only to a settlement account. No payouts are made to third parties.
12.6. The Agent enters its payment details in the Account and is responsible for their accuracy. Payment details are stored in encrypted form. The Principal is not liable for a payout made to incorrect details entered by the Agent.
12.7. A payout is not available if:
- the Balance is negative (clause 13.3);
- payment details have not been entered;
- the closing documents for the previous payout have not been provided (Section 15);
- the Agent’s participation has been suspended under Section 17;
- the Agent’s status has not been confirmed (clause 4.4).
12.8. Payouts made before the Report for the relevant month is accepted are advances against the remuneration and are taken into account in the Report.
12.9. The fees of the Principal’s bank are paid by the Principal, and the fees of the Agent’s bank are paid by the Agent.
13. Client Refunds and Deductions
13.1. When a payment is refunded to a Client, the refund amount is determined in proportion to the unused days of the paid period under the Principal’s rules for Clients.
13.2. In the event of a refund, the Accruals of all levels for that payment are reduced in proportion to the refunded amount. A Deduction is rounded up to the whole ruble but does not exceed the Accrual. A Deduction is made from the Hold if the Accrual is still on Hold, otherwise from the Balance.
13.3. If an Accrual has already been paid out, the Balance may become negative. A negative Balance is repaid from future Accruals. While the Balance is negative, payouts are not available.
13.4. A refund reduces the Agent Turnover of the month in which it is made.
14. Agent’s Report
14.1. The Agent’s Report (Article 1008 of the Civil Code of the Russian Federation) is generated in the Account automatically for each Reporting Month in electronic form. The Report contains:
- Assigned Clients and their payments, and the Remuneration Base;
- the Agent Turnover, the personal rate and the Support Mode for the month;
- Accruals by level, Deductions and refunds;
- the Hold, the Balance, payouts and debt at the end of the month;
- Support Mode violations and sanctions applied.
14.2. The Report is generated no later than the 5th day of the month following the Reporting Month.
14.3. Within 5 business days after the Report is generated, the Agent may send reasoned objections to the data via the Account or by email. If there are no objections, the Report is deemed submitted by the Agent when this period expires.
14.4. The Principal may raise objections to the Report within 10 calendar days from the date of its submission. A Report to which no objections have been raised within these periods is deemed accepted.
14.5. The Parties consider objections in good faith. Corrections are made by adjusting entries in the Account and are reflected in the Report for the following month.
14.6. An accepted Report confirms the performance of the assignment for the month and the amount of remuneration and is a primary document for settlements between the Parties.
15. Taxes and Closing Documents
15.1. Each Party independently fulfils its tax obligations according to its status.
15.2. The remuneration includes all of the Agent’s taxes. If the Agent is a VAT payer, the remuneration includes VAT, and the Agent issues documents with VAT.
15.3. The Agent confirms the remuneration by the accepted Report. At the Principal’s request, the Agent signs an acceptance certificate or a universal transfer document (UPD) for the month.
15.4. If the Agent loses its status as an individual entrepreneur or switches to the tax on professional income, the Agent reimburses the Principal for taxes, insurance contributions, penalties and fines assessed against the Principal because the Agent failed to report this within the time limit under clause 4.4.
16. Agent’s Card in the Catalog. Ratings
16.1. The Agent’s card is published in the Catalog only with the Agent’s consent (the “show in catalog” setting) and after approval by the Principal.
16.2. A logo, name, country, city, specialization and a short description are required for publication. The logo must be PNG, JPEG or WebP and meet the requirements of the Account. Contacts (email, phone, website) are published only with the Agent’s separate permission.
16.3. The information in the card must be accurate and must not violate the rights of third parties or the requirements of Section 17.
16.4. Changes to a published card are reviewed again. Until the Principal decides, the previous version remains in the Catalog. The Agent may at any time remove the card from the Catalog or hide its contacts, with immediate effect.
16.5. The Principal may refuse publication or hide the card, stating the reason.
16.6. For the period of publication, the Agent grants the Principal a free non-exclusive license to use the logo, name and text of the card for display in the Catalog worldwide. The Agent warrants that it is entitled to grant such a license.
16.7. The owner of an Assigned Client’s workspace may rate the Agent on a scale from 1 to 5 once per Reporting Month, or decline to rate, after paying for the Service during the assignment period. The Catalog shows the average rating and the number of ratings.
16.8. The Principal does not change Client ratings. The Principal may exclude ratings showing signs of manipulation.

17.5. The Agent may provide Clients with its own paid services (implementation, setup, training) in its own name and at its own expense under separate agreements with Clients, provided that it does not mislead Clients about the price and terms of the Service and does not present the price of its services as the LineOnMe price. The Principal is not a party to such agreements and is not liable under them. The restrictions of clause 9.6 continue to apply.
